Wuff's description is correct. Under UK company law a company needs as a bare minimum two officers: a director (who may or may not have an executive function and therefore be called the 'managing director') and a company secretary. The company secretary may or may not also be a director. In many instances he/she is not.

I think the nearest equivalent in German may be a Prokurist ... but that isn't really close, as the two forms of company structure in Germany and the UK are quite different.

Silke: in your text it does not necessarily follow that the 'company diretor' referred to is the 'managing director'. Any member of the board is a company director. This individual may have an executive function within the company, e.g. he/she may run it and thus be called the 'managing director, may be the head of sales and thus called the 'sales director' etc, or may have no executive role and be on the board to provide advice and experience as an outsider looking in and thus called a 'non-executive director' (such non-execs may or may not also be shareholders in the company).

Ich würde mich Wulff anschließen - notfalls von "Sekretär" sprechen, vorausgesetzt, man nimmt den engl. Ausdruck in Klammern dahinter und hat das Verständnis, dass der CS die Corporate Books führt.

Auf jeden Fall ist es Quatsch, den CS als Prokuristen zu bezeichnen, da er die Gesellschaft nicht in vergleichbarer Weise gegenüber Dritten vertreten kann.

@4: Nein, der Company Secretary wäre in Deutschland der Finanzvorstand/Chefcontroller oder neudeutsch CFO (Chief Financial Officer).

As a Company Secretary of an English charity (Stiftung), I can confirm that neither Prokurist nor Finanzvorstand are accurate translations (although some of the tasks of a Company Secretary are carried out by these roles). In many English companies Company Secretaries tend to have a legal rather than a financial background.

By the way, with the new Companies Act 2006, there is no longer a requirement for private companies (as opposed to public companies - PLCs) to have two directors, nor indeed to have a Company Secretary.

I prefer "Gesellschaftsekretär".

Kleine Ergänzung: Seit 06.04.2008 sind Secretaries nicht mehr zwingend vorgeschrieben (zumindest nicht für Private Companies). Es reicht auch ein Director, wenn er eine natürliche Person ist.

Secretarys nennen sich jetzt "Administrative Assistants" oder "Executive Assistants."
