    hereby transfer 50 % of the shares to the "TRANSFEREE" named (numbered 251 to 500) retroactively to Jan. 1, 2013

    subject to the several conditions on which the shares are now held by the Transferor and the Transferee does hereby agree to accept and hold the shares subject to the same conditions.

    No, it's actually one sentence, but the middle part is the part I need help with. That's why I seperated it.

    Rückwirkend zum 1. Januar 2013 wird die Hälfte / werden 50 % der Geschäftsanteile (mit den Nummern 251 bis 500) auf den (namentlich) benannten Erwerber übertragen.

    Well, I'm not a corporate lawyer and am therefore no expert on how these things are usually worded. But I will say that yours is confusing and, on that basis, needs rewriting.

    Here's something for you to consider:


    For consideration stated below, [comma] the named "TRANSFEROR" does hereby transfer 50 percent of the shares (those numbered 251 to 500) to the named "TRANSFEREE," retroactive to January 1, 2013.

    This transfer is subject to the several conditions on which the shares are now held by the Transferor, [comma] and the Transferee hereby agrees to accept and hold the shares subject to the same conditions.

    Some style notes: If you use the % symbol, English does not typically include a space between it and the value. As Happy Warrior indicated, some would prefer that you write it out as either "percent" or "per cent" (the former is more typically, but not exclusively, AE, while the latter is more typically, but not exclusively, BE).

    I understand why you're thinking of the adverbial form, EICHHÖRNCHEN, but "retroactive to" is used in such a phrase:
